This agreement is between Stallion ONE Holdings LLC (“Stallion ONE”, “we”, “us”) and the licensed real estate agent named in Schedule A (“Partner Agent”, “you”). It starts when you accept it on stalliononepartners.com (the “Effective Date”).
1. Purpose
Stallion ONE runs a platform that helps real estate investors (“Members”) find, analyze and buy investment properties. Through the ONE Network Partner Agent Program (the “Program”), we may introduce Members to you so you can represent them in buying or selling property.
2. Eligibility
You confirm, and will keep true while in the Program, that:
- you hold an active real estate license in good standing in each state where you serve Members;
- you have experience working with real estate investors; and
- the details you gave in Schedule A are accurate.
You’ll tell us within 5 business days if your license or brokerage changes.
3. Introductions and coverage areas
- You’ll list in your partner profile the counties or areas you cover and keep that list current. We use it to decide which introductions to offer you.
- When a Member asks for a local agent, we may introduce them to you. The Member decides whether to work with you.
- An introduction may include the Member’s name and contact details, investment strategy, the property they’re considering and estimates they created on Stallion ONE.
- The Program is nonexclusive. We don’t guarantee the number, timing, quality or outcome of introductions, any territory, or any exclusivity. You may work with other referral sources, and we may introduce Members to other agents.
- We may accept or decline applications, or pause new partners in a market, at our discretion.
4. Your relationship with Members
Stallion ONE provides technology, introductions and coordination. Any brokerage or agency relationship is between the Member and you and your brokerage, and you and your brokerage are responsible for it. Stallion ONE is not a party to that relationship and doesn’t act as the Member’s broker in transactions introduced to you. A licensed brokerage affiliated with Stallion ONE may separately represent Members or act in other transactions where appropriate, under its own agreements and not this one.
You’re responsible for your professional duties, including agency disclosures and agreements, fair housing compliance, and the accuracy of any advice you give. Stallion ONE does not give real estate, legal, tax or investment advice.
5. Program standards
You will:
- respond to a new introduction within 1 business day and to Members on live deals promptly;
- keep each introduced deal’s status current in Stallion ONE, including when it goes under contract, closes or falls through;
- pause your profile when you can’t take new Members;
- act professionally and honestly with Members; and
- not make misleading statements about Stallion ONE, its partners or the Program.
We track response times. If you regularly miss them, we may pause new introductions to you.
6. Compensation
Compensation is set out in Schedule B. Any change to it applies only to future introductions and needs a new written agreement accepted by you.
Except as set out in Schedule B, you won’t pay, or offer anything of value to, Stallion ONE, its staff or any Member in exchange for introductions.
7. Member information
You’ll use Member information only to serve that Member on the matter they asked for help with. You’ll keep it confidential and secure, and won’t sell it, share it outside your brokerage or add it to marketing lists without the Member’s consent. You’ll tell us within 48 hours if you believe Member information has been lost or accessed without permission.
8. Protecting introduced Members (non-circumvention)
For 12 months after we introduce a Member to you, you won’t:
- encourage the Member to stop using Stallion ONE, or to move a deal off the platform, so that it isn’t recorded as an introduced transaction;
- use the Member’s information to market another investment platform, membership or deal service to them; or
- make false or disparaging statements about Stallion ONE or ONE Network partners to the Member.
If an introduced Member buys or sells a property with you during that period, that transaction counts as an introduced transaction, whether or not it was recorded in Stallion ONE.
Nothing in this agreement limits a Member’s right to choose their own lender, insurer, inspector, title company or other provider, or your duty to give them honest advice about those choices. You don’t have to recommend ONE Network partners.
9. Your profile and our name
We may show your name, photo, brokerage, license state and coverage areas to Members. While you’re in the Program you may describe yourself as a “Stallion ONE Partner Agent”, following any brand guidelines we give you. You may not suggest that Stallion ONE endorses a particular property or transaction.
10. Platform information
The Stallion Score, figures and estimates on Stallion ONE come from data and Member inputs. They’re for information only, may be incomplete or inaccurate, and should be checked independently.
11. Term and ending the agreement
This agreement continues until either of us ends it. You can end it at any time by emailing [email protected]. We can end it with 14 days’ notice. We can suspend or end it straight away if you materially breach it, if your license lapses or is restricted, or for serious misconduct.
When it ends, we stop sending new introductions. You may complete transactions already in progress, and honor representation agreements already signed with introduced Members, as long as you stay licensed and in good standing. This section and sections 6, 7, 8 and 12 to 15 continue after it ends.
12. Insurance
You’ll keep errors and omissions insurance that is appropriate to your work with Members, either your own policy or cover through your supervising brokerage. This applies whether or not your state requires it. You’ll give us evidence of cover if we ask.
13. Liability and indemnity
The Program is provided “as is”. To the extent the law allows:
- neither of us is liable to the other for indirect, incidental or consequential losses; and
- Stallion ONE’s total liability to you under this agreement is limited to $1,000.
These limits don’t apply to fraud, willful misconduct or any liability that can’t legally be limited.
Each of us will indemnify the other against third-party claims to the extent they arise from our own acts or omissions, our breach of this agreement or our breach of law.
14. Independent parties
You’re an independent licensed professional, not an employee, agent or partner of Stallion ONE. Neither of us can bind the other.
15. General
- Changes: we may update this agreement by emailing you at least 30 days before a material change takes effect. We may make changes needed for urgent legal, regulatory or security reasons with shorter notice. If you keep taking introductions after a change takes effect, you accept it. Changes don’t affect rights already accrued or transactions already in progress. Changes to compensation follow section 6.
- Governing law: the laws of the State of South Carolina, except where the law of the state in which a transaction takes place must apply.
- Whole agreement: this agreement, with Schedules A and B, replaces the Partner Agent Program Terms and anything else we’ve agreed about the Program.
- Notices: by email to the address in your profile, or to [email protected].

By clicking “I accept”, you agree that this is a legally binding signature. We record your name, email, the date and time, your IP address and the version of this agreement you accepted, and email you a copy.
